Overview

Every LLC, corporation, limited partnership, and registered DBA in Utah must file an annual report (called an annual renewal) with the Division of Corporations and Commercial Code to stay in good standing. The filing updates the entity's registered agent, addresses, and leadership information on the public record.

Key facts

  • Due: during the anniversary month of the entity's formation/registration, every year.
  • Fee: $18. Late filings add a $10 late fee ($28 total).
  • First renewal: not due until the year after the calendar year the certificate became effective.
  • Consequence of missing it: delinquent status, then administrative dissolution — the entity loses its legal standing.

How to file online

  1. Log in at businessregistration.utah.gov with your UtahID.
  2. Open "Renewals" and choose "Annual Report with Changes" or "Annual Report without Changes."
  3. Find your entity by name or entity number and select it.
  4. Update any changed information (registered agent, addresses, officers/members).
  5. Add to cart, check out, and pay. Submission is complete only upon payment — an "In Progress" filing has not been submitted.
  6. Download the PDF confirmation for your records.

Filing by mail

The Division accepts the annual renewal form by mail with payment to P.O. Box 146705, Salt Lake City, UT 84114-6705. Paper filings take roughly 7 to 10 business days to process.

Common mistakes

  • Forgetting the anniversary month (it is not the calendar year-end for everyone).
  • Letting a filing sit "In Progress" without paying, thinking it was submitted.
  • Not updating the registered agent after moving or changing agents.

When to bring in an attorney

Reinstatement after administrative dissolution, disputes over who is authorized to file, or filings involving ownership changes.
